General

These general terms and conditions apply to all offers, activities, quotations, and agreements for training and organizational advice between F-Act Bedrijfstrainingen (F-Act), as well as their legal successors.

These general terms and conditions exclude the application of any terms and conditions of clients, regardless of their content or form. Deviations are only valid if they are written and signed by both parties. The invalidity of any provision of these general terms and conditions and/or agreements to which these general terms and conditions apply does not affect the validity of the remaining provisions of the general terms and conditions and/or agreements.

Acceptance of the Assignment

F-Act only accepts assignments for which it possesses the necessary qualifications. F-Act staff assigned to an assignment must work on these assignments effectively through their knowledge, experience, and personal qualities. Both the client and F-Act can, in consultation, request other staff than those initially tasked with executing the assignment. This must not compromise quality and continuity. F-Act must create circumstances where all individuals at the client who contribute to the execution of the assignment clearly understand the role of F-Act.

Establishment of the Assignment

The assignment is accepted by F-Act provided there is complete mutual agreement between the parties about the content and execution conditions. The mutual agreement on the assignment content is achieved by F-Act collecting detailed information and the client providing all essential information for the setup and execution of the assignment to the best of their knowledge. This allows both the client and F-Act to form an understanding of the issue, the project scope, and the possible outcomes. If this results in a preliminary study, agreements about the conditions of this study are made with the client in advance.

Execution Conditions

In the mutual agreement on the execution conditions regarding the assignments, agreements are made about:

  • Defining the target group

  • Determining the learning or advice needs

  • The training design or advice process to be used

  • The working method

  • The materials and technical aids to be used

  • The feasibility of the training expectations

  • The selection of trainers/advisors by F-Act and the client, and the designation of a potential project leader

  • The role of the trainers/advisors

  • An indication of the assignment duration and potential phasing

  • How the assignment will be evaluated

  • Any follow-up discussions

  • The costs of training materials

  • Travel and accommodation expenses for the trainer/advisor

  • Extra costs for assignments outside regular working days

  • Costs for accommodation and facilities and the task division for organizing these

  • Charging quotation costs

  • The desired or necessary aftercare

The above list is not exhaustive and will be specified more for an advice process. Matters not mentioned but related to this topic will be arranged in consultation between the client and F-Act.

Change, Progress, and Documentation of the Assignment

If facts or circumstances arise during the execution of the assignment that would affect the original mutual agreement, timely consultation between the client and F-Act will take place to adjust the agreements to the changed situation. F-Act will keep the client informed of the progress of its work. At the client's request, F-Act will provide insight into the methods applied during the various phases. F-Act will justify the manner it performs assignments, particularly for any subsequent accountability. F-Act ensures that archive documents are not misused.

Interim Termination of the Assignment

F-Act reserves the right to withdraw from an assignment if circumstances beyond its control hinder proper execution. Should the client terminate prematurely, F-Act is entitled to compensation for demonstrated loss of occupancy.

Involvement of Third Parties in the Assignment

The involvement or engagement of third parties in the execution of the assignment by the client or by F-Act only occurs in mutual consultation.

Confidentiality

F-Act will handle the information provided or known to it during the assignment with the care that can reasonably be expected. Generally, information of a confidential nature or information understood to be confidential will only be used if required for the execution of the assignment.

Payment

F-Act offers customized training. The costs of these trainings depend on the individual wishes of the client and are available upon request in the form of a quotation. The rates in the quotation are exclusive of VAT.

The training costs are invoiced after completion. The invoice amount must be transferred to the bank account stated on the invoice within 30 days of the invoice date, quoting the invoice number and date. If F-Act Business Training has not sent the invoice on time for any reason, payment must be made within eight days of the invoice date. If the client does not pay on time, the client is considered in default and, without further notice, is liable for interest on the outstanding amount equal to the prevailing Dutch interest rate.

F-Act reserves the right to change or revise the training rates. Such price changes will be communicated to you in writing at least thirty (30) days in advance.

Lunch, dinner, coffee, and tea are not included in our rates unless explicitly stated otherwise.

Cancellations and Postponements

In case of cancellation by the client, F-Act will charge:

  • All development and preparation costs incurred up to the cancellation date;

  • All costs for the assignment execution:

    • 100% of the costs for cancellations within 2 weeks before the activity start;

    • 50% of the costs for cancellations between 2 weeks and 1 month before the activity start;

    • 0% of the costs for cancellations more than 1 month before the activity start.

  • All costs of any booked accommodation charged according to the accommodation provider's terms.

In case of postponement within 14 days to 3 working days before the service or training start, 10% of the price is charged in addition to the full invoice amount. After this period, 50% of the price is charged in addition to the full invoice amount.

Once postponed services or training cannot be postponed or canceled again.

Cancellations and postponements can only be submitted in writing by mail, fax, or email and must be received by F-Act Business Training before the stated deadlines.

In exceptional circumstances, F-Act may deviate positively from these arrangements, at F-Act's discretion.

F-Act accepts the nomination of substitutes for already registered but prevented participants, subject to F-Act's confirmation.

Prevention

F-Act will not be liable if training does not take place due to reasons beyond its control.

If due to illness, termination of employment, or any other reason a person (or persons) is (are) no longer available to conduct training, F-Act will make every reasonable effort to reschedule the training for a later date. If this proves impossible, any payments already made will be refunded to the client.

Copyright

Documentation materials and all other written information provided by F-Act as part of any training or service are protected by copyright. None of this material may be copied, reproduced, or otherwise duplicated in any form, in whole or in part, nor disclosed to third parties without the express written permission of F-Act. Participants are hereby granted a non-exclusive, non-transferable right to use the products used in the training they attend or provided as part of the service. This right of use ends at the end of the training or after the service has been completed. Without prejudice to other provisions regarding intellectual property rights and data export, F-Act grants participants a non-transferable license to use oral, handwritten, printed, or otherwise recorded instructions, directions, and reports during the training, but not for providing training and/or other services, whether internally or externally.
